Senior Legal Counsel Commercial - Greater Atlanta, GA (Newnan, GA)


My client aims to provide industrial scale clean battery solutions to reduce global emissions. Listed on the New York Stock Exchange, their mission is to produce green battery cells to accelerate the decarbonization of energy and transportation systems globally.


My client recently relocated its corporate parent company from Luxembourg to the United States. They have built the commercially-sized Customer Qualification Plant in Mo i Rana, Norway and announced development of industrial scale battery cell production in Coweta County, Georgia, in the United States.


We are looking for a Senior Legal Counsel - Commercial to join our Legal and Compliance Department. The role will involve the negotiation, drafting and review of commercial contracts, as well as company secretary functions and SEC reporting, and other day-to-day legal tasks.


Your job tasks include

  • Collaborate with business teams in the drafting, review and negotiation of construction contracts and other complex commercial contracts.
  • Draft, review and advice on various other contracts such as NDAs, LoIs, and MoUs.
  • Provide legal advice on potential and actual contractual disputes.
  • Support in the maintenance of the contract archive.
  • Procure and co-ordinate advise from external legal counsel on the above matters.
  • Oversee corporate secretary functions for U.S. subsidiaries, ensuring compliance with company law and corporate governance requirements including support in SEC filings.
  • Contribute to legal risks analysis and the development of compliance programs and internal controls that the Legal department is responsible for.


To do these tasks will require

  • Strong understanding of contract law.
  • Proven experience in commercial contracting.
  • Ability to work well with cross functional groups.
  • Strong initiative and ability to work independently.
  • Willingness to pivot and learn.


We are looking for the following qualifications

  • Master of law or equivalent.
  • 5+ years of relevant experience, ideally with a combination of law firm and in-house experience.
  • Admitted to at least one U.S. state bar.
