POSITION SUMMARY


Counsel is primarily responsible for assisting the Executive VP & General Counsel & CAO in the performance of his duties as legal counsel to the Company and its subsidiaries. In addition, Counsel provides legal counsel and guidance to Company management and division management in all areas of Company operations.


The incumbent must support the guiding beliefs and core values of Orion, which are centered on Safety, Quality, Delivery, and Teamwork most importantly, with each built upon the all-important foundation of Integrity.



SPECIFIC RESPONSIBILITIES


  • Applies and utilizes all technical skills with no guidance or supervision from others and serves as a technical resource for others.
  • Exhibits the ability to effectively work closely with Executive VP & General Counsel & CAO to provide legal counsel to the Company and its subsidiaries and achieve legal objectives.
  • Demonstrates ability to research and provide legal counsel and advice to board members and all corporate executives on the legal aspects of activities within their assigned areas (e.g., corporate governance, acquisitions, mergers, protection and disposal of real and personal property, collections, maritime issues, and relations with municipal, federal, and state agencies).
  • Demonstrates ability to develop strategies and pursues settlement of claims, change orders, and other dispute resolutions.
  • Demonstrates ability to investigate claims and complaints by or against the Company, conducts interviews, prepare reports and/or opinions based on findings.
  • Demonstrates ability to prepare and review proposed contracts, leases, formal agreements, insurance renewals, reports, statements, and other legal instruments to safeguard the Company s interests.
  • Trains Project Management Teams in identifying, reacting to, and pursuing claims and/or change orders.
  • Develops strategies and pursues settlement of claims, change orders, and other dispute resolutions.
  • Works closely with the Executive VP & General Counsel & CAO to provide legal counsel to the Company and its subsidiaries and achieve legal objectives that are aligned with the Company s corporate strategy.
  • Assists and supports Executive VP & General Counsel & CAO in researching and providing legal counsel and advice to board members and all corporate executives on the legal aspects of activities within their assigned areas (e.g., corporate governance, acquisitions, mergers, protection and disposal of real and personal property, collections, maritime issues, and relations with municipal, federal, and state agencies).
  • Coordinates with the Executive VP & General Counsel & CAO in the defense of the Company against uninsured suits and claims and coordinates the prosecution of the Company s claims against others.
  • Investigates claims and complaints by or against the Company, conducts interviews, prepare reports and/or opinions based on findings.
  • Prepares or reviews proposed contracts, leases, formal agreements, insurance renewals, reports, statements, and other legal instruments to safeguard the Company s interests.
  • Provides legal counsel for all operational activities conducted by the Company and its subsidiaries including, but not limited to contract drafting, review and negotiation, real and business personal property issues including drafting and reviewing real estate leases and vessel charters, along with the EVP & General Counsel & CAO.
  • Maintains up-to-date knowledge of the law in areas of special interest to the Company, including admiralty, Federal Maritime Commission, Interstate Commerce Commission, insurance, labor, FCPA, international and contract law and advises the Company of impacts of law changes.
  • Develops and interprets legal departmental, corporate governance, and legal compliance policies and procedures.
  • Works with local, state, and federal authorities in various geographical areas in which the Company operates as well as in various substantive areas such as environmental compliance and issues in connection with the FCPA.
  • Advises on legal aspects of Company operations. Also provides legal counsel related to contracts, compliance, insurance and property matters, human resources, workers compensation, and public relations.

POSITION REQUIREMENTS


JD from an accredited law school is required. Licensed to practice law in at least one state in the United States; preferably Washington, Texas, Florida or Louisiana. Possess at least 5 years of experience in corporate transactional law with concentration in the areas of contracts, corporate law, and executive and managerial interface. Well-developed communication skills (both verbal and written) are required.

The incumbent should also be able to effectively interface with:

  • Internal Contacts Executive VP & General Counsel & CAO, and other Officers, Managers and Supervisors.
  • External Contacts Outside Legal Counsel, Federal, State, and local agencies, independent auditors, consultants, vendors, etc.

The incumbent must be proficient in Microsoft Word, Excel, Access, Outlook, and PowerPoint. Good organizational skills and the ability to multitask, prioritize tasks, and adjust to sudden changes in work priorities as requirements dictate are important traits and skills.


Discretion and trustworthiness, and the ability to keep all Company information and materials strictly confidential (both internally and externally) are essential elements of this position.


Must be well organized, diligent, and be a self-starter with the ability to work with minimal supervision and to independently identify work to be done. Must be flexible and have the ability to adjust to sudden changes in work priorities. The incumbent must also have the ability to prioritize work generally and in order to accommodate those changes. Attention to detail and extreme care in performing tasks accurately and carefully are also essential.


The Company expects and requires incumbent and each of its other employees to observe and fulfill the above and all other safety responsibilities and actively work toward maintaining a safe workplace. Failure to do so can result in disciplinary action, up to and including termination of employment.


PHYSICAL/MENTAL REQUIREMENTS


The incumbent must be able to perform the essential functions of the job with or without reasonable workplace accommodation.


The individual must also be able to wear and properly utilize appropriate personal protective equipment if required to work or visit the job site. This may include a hard hat, safety glasses, respirators, ear plugs, steel-toed shoes, personal flotation devices, or other equipment as required by the work performed and the location the work is being done.


The incumbent must possess the ability to remain calm during emergencies and respond appropriately as dictated by the circumstance of the incident and as directed by the Safety Representative or other management personnel. Must be capable of evacuating the work area in a timely manner should an emergency arise.


LIMITS OF AUTHORITY


All financial, contractual, or legal commitments must be pre-approved by the EVPGC, and no financial or contractual commitments shall be made unless otherwise specifically directed by the EVPGC.
