I am seeking a talented Capital Markets Associate to join an Am Law Top 20 firm. The ideal candidate will have a strong background in capital markets transactions, with expertise in representing issuers, underwriters, and placement agents in 33 Act transactions. Additionally, the candidate should possess extensive experience advising public companies on 34 Act filings, compliance matters, and corporate governance issues. This role offers an exciting opportunity to work on sophisticated transactions, collaborate with colleagues internationally, and contribute to the collective success of clients.


Responsibilities:

  • Provide comprehensive legal counsel on capital markets transactions, including public offerings, private placements, and securities compliance matters.
  • Draft and review transactional documents, offering materials, and regulatory filings in accordance with 33 Act and 34 Act requirements.
  • Conduct thorough due diligence and risk assessments to identify and mitigate potential legal issues.
  • Advise clients on corporate governance matters, including board governance, disclosure obligations, and shareholder relations.
  • Maintain regular communication with clients to address inquiries, provide updates, and ensure client satisfaction.
  • Collaborate effectively with colleagues and external parties to achieve successful outcomes on behalf of clients.
  • Prioritize tasks, manage deadlines, and balance competing responsibilities to deliver high-quality work product efficiently.


Qualifications:

  • Juris Doctor (JD).
  • Admission State Bar in which you are applying or eligibility for admission.
  • 4 to 6 years of experience practicing law with a focus on capital markets transactions at a reputable law firm.
  • Demonstrated expertise in representing issuers, underwriters, and placement agents in 33 Act transactions.
  • Extensive experience advising public companies on 34 Act filings, compliance matters, and corporate governance issues.
  • Excellent written and oral communication skills, with the ability to articulate complex legal concepts clearly and effectively.
  • Professionalism in working and engaging with clients and colleagues, fostering strong relationships and delivering exceptional client service.
  • Strong organizational skills, attention to detail, and the ability to manage multiple priorities and deadlines effectively.
  • Proven ability to collaborate and work effectively in team settings, contributing to a positive and inclusive work environment.
