Job Description


The Role: MicroStrategy is looking for an equity plan specialist to own and administer our various employee equity programs (Employee Stock Purchase Program, Restricted Stock Units, and Stock Options). The person in this role will manage all daily aspects of our equity record-keeping and administration and will provide support to employees who participate in our equity programs. The ideal candidate will have excellent people, communication and critical thinking skills, a high level of attention to detail and accuracy, and the ability to manage multiple tasks.


Your Focus:

  • Support all equity program administration at MicroStrategy (ESPP, RSUs, Stock Options) for our worldwide employee base.
  • Process transactions involving option exercises, RSU vesting and ESPP purchases, with a strong collaboration between HR and Payroll.
  • Coordinate with the HR team on all new hire grants.
  • Handle all daily aspects of our third-party equity record-keeping and administration systems, including grants, cancellations, transfers, purchases/repurchases, and vestings.
  • Perform reconciliation of records between Stock Administration, HR, and Payroll.
  • Maintain database integrity and ensure accuracy of record-keeping of equity data using Shareworks, our equity vendor.
  • Provide excellent customer service to worldwide equity participants at all levels and to partners across departments and respond to employee questions in a courteous and satisfactory manner.
  • Support development of materials and other employee communications, contribute ideas, and assist with employee education programs utilizing various media available to improve understanding of equity programs and policies.
  • Track grant agreement process and acknowledgments.
  • Reconcile transactions, termination dates, tax withholding and reporting, and other items as required (domestic and international).
  • Coordinate with third-party equity administrator on current legislative developments and adjust stock plan administration processes as needed.
  • Provide data updates to, and manage communication with, external transfer agent and other third-party vendors as required.
  • Help prepare exhibits and accompanying data in support of Board Compensation Committee review.
  • Audit and reconcile data in conjunction with monthly/quarterly/annual capitalization table needs.
  • Maintain compliance best practices, documenting and developing improvements in applicable processes to ensure accurate and timely processing of grant updates.
  • Partner closely with Finance, Legal, HR Business Partners, Talent Acquisition, and Payroll to maintain and improve current processes and procedures.
  • Support other payroll operations and reporting as necessary.
  • Assist with other projects as assigned.


Qualifications

  • B.S. degree in Business, Accounting, Finance, related fields, or the equivalent education or work experience.
  • 1-3 years of experience with stock plan administration at a public company with a global workforce or similar experience preferred.
  • General knowledge of SOX compliance and related audit concepts.
  • Automation and process improvement mindset.
  • Strong system and data flow knowledge (RPAs, data analytics, Workday, EEO).
  • Understanding of equity administration concepts and related financial reporting principles.
  • Superior organizational skills, attention to detail and accuracy.
  • Ability to work in a fast-paced and collaborative environment and adjust to changing priorities.
  • Very strong communication skills and customer orientation.
  • Confident working with various levels of management and handling highly confidential information.
  • Advanced Excel and analytical skills.
