The American Dental Education Association (ADEA) is looking to add a talented Senior Director of Governance to its team.

Position Summary

The Senior Director, Governance (SDG) plays a pivotal role in overseeing the ADEA governance processes and coordinating key relationships within the Association. Reporting to the ADEA Chief Operations Officer; Chief of Staff (COO/COS), the SDG supervises the Senior Program Manager, Governance and is responsible for facilitating Board processes, developing and updating standard operating procedures, managing call for nominations and elections, planning and facilitating the ADEA House of Delegates, and maintaining the ADEA Board of Directors Handbook and ADEA Bylaws. This is a highly visible and critical position that involves collaboration with various stakeholders such as ADEA Board of Directors (ADEA BOD), Councils administrative board members, members, ADEA BOD Principal Officers, including the ADEA President and CEO. The Senior Director provides leadership on the Association s governance matters, including preparing for board meetings, drafting and maintaining board minutes and resolutions, and ensuring accurate implementation of board decisions. The Senior Director also assists the ADEA BOD with strategic planning processes and works with ADEA senior leadership to align and implement the strategic plan with ADEA s mission and goals. This position coordinates all ADEA BOD meeting logistics and communications, ensuring that the ADEA Principal Officers, Board members, and ADEA senior leadership are prepared for their meetings and all Board events. They also coordinate and collaborate on internal/external projects, reports, and assignments for the Board, senior leadership, as well as working with internal and external stakeholders to ensure projects comply with Board and project material design.

The Senior Director also supports the ADEA COO/COS with budgetary responsibilities related to governance and partners with the ADEA President and CEO and Senior Chief Financial Officer to ensure that budget goals are attainable. Additionally, this position works with the ADEA President and CEO and Chair of the Board to organize and staff tasks forces and workgroups, as needed. They also manage ADEA BOD processes, procedures, calendars, schedules, agendas, materials, and communications and also serve as concierge to Board members.

Primary Responsibilities

  • Plans and successfully executes ADEA BOD meetings, committees, task force, and collaborates with ADEA staff and ADEA Council and Advisory Committee Liaisons to ensure that projects, activities, and related ADEA governance functions are operating and staffed appropriately.
  • Develops, implements, and evaluates programs, services, policies and procedures, and performance standards to achieve departmental goals.
  • Prepares ADEA BOD meeting notices and partners with the Senior Program Manager, Governance to staff and plan meeting agendas and other communications; prepare materials required for Board meetings; and ensures timely delivery of materials to the Board of Directors and ADEA senior leadership.
  • Coordinates and collaborates on internal/external projects, reports, and assignments for the Board, as well as working with internal stakeholders to ensure projects comply with Board and project material design.
  • Responsible for ad hoc projects for ADEA President and CEO and COO/COS to ensure maximum efficiency, productivity, and high performance for the Board, task forces, committees, and other related stakeholders.
  • Troubleshoots operational issues and develops action plans to resolve.
  • Provides exemplary customer/member and stakeholder service in response to Board member needs and maintains excellent communication with Board members and ADEA leadership.
  • Develops policies and procedures as appropriate, identifies and escalates issues following departmental guidelines.
  • Develops and maintains key relationships with governance national organizations and other related working groups, where appropriate.
  • Participates and partners with the ADEA COO/COS in developing, preparing, monitoring and reconciling the governance operating budget to ensure goals set by the ADEA President and CEO and ADEA Senior Chief Financial Officer are attainable.
  • Collaborates with the Senior Program Manager, Strategic Planning and Initiatives in preparing materials, presentations, reports, and other materials for strategic planning sessions.
  • Partners with data analytics and other departments to curate board reports via use of raw data and visualization tools to present understandable and relevant data and progress updates.
  • Collaborates with the ADEA President and CEO, Parliamentarian, Senior Program Manager, Governance, and COO/COS to advise ADEA governing bodies, members, stakeholders, and senior leadership on related ADEA Bylaws, policies, procedures, and governance issues.
  • Prepares ADEA BOD Chair and other ADEA BOD meeting scripts, presentations, and remarks in conjunction with the ADEA Chief Communications Officer and ADEA COO/COS, as needed.
  • Maintains annual calendar of all ADEA BOD meetings, events, retreats, task force, workgroups, and committees and oversees the consistency and sequencing of meetings.
  • Plans, organizes, and executes ADEA BOD meetings and events to fulfill the BOD obligations and to ensure effective and efficient meetings and activities.
  • Establishes standardized templates for ADEA BOD, Committee, and other governing bodies agendas and meeting minutes in conjunction with the ADEA Department of Communication and Marketing.
  • Partners with the Senior Program Manager, Governance, ADEA Advisor to the Council Staff Liaisons, and Senior Program Manager, Strategic Planning and Initiatives to coordinate, lead, plan, and execute meetings and activities to gather input and provide on-going training on timely governance related information to the ADEA BOD Advisory Committee Liaisons and the ADEA Council Staff Liaisons.
  • Prepares and reviews ADEA BOD, committee, and other governing body minutes with the ADEA Chair BOD, President and CEO, and the COO/COS for completion and accuracy.
  • Collaborates with the ADEA BOD, President and CEO, COO/COS, and Senior Program Manager, Strategic Planning and Initiatives to ensure board input, review, and approval of ADEA strategic plan.
  • Partners with the ADEA Chair BOD, President and CEO, and COO/COS to facilitate ADEA BOD self-evaluations, develop BOD job descriptions, and establish and execute annual board goals and objectives.
  • Reviews, recommends, and implements technology solutions to facilitate the work of the Board, task force, its committees, and other ADEA governing bodies.
  • Manages business relationship and facilitates contracts with outside vendors whose products or services support the Board's work.
  • Serves as the official custodian of ADEA BOD materials, procedures, policies, and partners with the ADEA Information Technology Department to maintain the ADEA BOD portal ensuring all documents are consistent and securely posted in a timely manner to appropriate groups.
  • Stays informed of current governance best practices via literature, governance groups, conferences, etc.
  • Maintains discretion and confidentiality of ADEA and governance issues and information.
  • Creates systems to ensure ongoing compliance with related governance, privacy, and other governance related legal requirements.
  • Facilitates regular review of policies, procedures, and bylaws in conjunction with the Senior Program Manager, Governance.
  • Partners with the ADEA Parliamentarian and Senior Program Manager, Governance to ensure that governance processes and procedures are followed accurately.
  • Leads planning for the ADEA House of Delegates (ADEA HOD) annual meeting and prepares and finalizes materials for the ADEA HOD in conjunction with the Senior Program Manager, Governance and other ADEA staff.
  • Collaborates with the ADEA Business and Finance Office to ensure proper, timely, and efficient reimbursement of Board of Directors and related stakeholders.
  • Meets with ADEA BOD from time to time for support, including answering questions, discussion of items which need to be brought forward, and understanding of any concerns.
  • Partners with ADEA President and CEO, COO/COS, Parliamentarian, and Senior Program Manager, Governance to ensure all board policies and bylaws are kept up to date.
  • Responsible for cataloging ADEA Board of Directors materials accurately in conjunction with the Senior Program Manager, Governance and providing an electronic record to ensure that documents and materials are effectively, securely maintained and easily accessible to ADEA senior leadership.
  • Prepares minutes of the ADEA Board of Directors meetings in a manner that describes the depth to which material issues were evaluated and that reflects the presence of dissenting views and votes, if any.
  • Plans and facilitates the orientation of new Board officers and Council members and plans and executes ongoing Board member training and development in conjunction with the ADEA Chair BOD, President and CEO; COO/COS, Senior Program Manager, Governance, and Advisory Committee and Council Staff Liaisons.
  • Provides guidance to the ADEA Board of Directors, governing bodies, and staff conjunction with the Senior Program Manager, Governance, ADEA President and CEO, and COO/COS to ensure that governance projects and objectives are met.
  • Leads and collaborates with the Senior Program Manager, Governance and other ADEA staff to ensure that the annual call for nominations for ADEA governance positions is executed and managed consistent with ADEA Bylaws, policies, and procedures.
  • Assists the ADEA Chair BOD and staff in planning, executing and facilitating ADEA volunteer awards, as needed.
  • Reviews, analyzes, and ensures that the Association governance processes align with the Association certificate of incorporation, bylaws, policies, and governance procedures.
  • Collaborates with the ADEA BOD, staff, Senior Program Manager, Strategic Planning and Initiatives, Chief Operating Officer; Chief of Staff, and President and CEO in developing, monitoring, and evaluating strategic planning, as needed.
  • Updates the ADEA Board of Directors Handbook annually and ensures that all ADEA Board of Directors receive the most updated copy.
  • Researches and keeps abreast of nonprofit policy, governance, and procedures to make recommendations, develop, and evaluate new and existing related ADEA processes and policies.
  • Develops presentation, training, conducts research, and develops policies to ensure the effective operation of ADEA governance.
  • Provides guidance related to parliamentary procedure at ADEA Board of Directors and governance bodies meetings, as needed.
  • Plans and executes periodic audits of the Association bylaws, policies, and operational procedures.
  • Plans and collaborates with ADEA governing bodies and provides leadership as directed by the ADEA President and CEO and/or ADEA COO/COS.
  • Coordinates and executes the annual Association relationship conflict of interests and disclosures process for Board of Directors and committee members.
  • Drafts correspondence, presentations, and remarks for the ADEA President and CEO; Board of Directors, and other ADEA leadership, in conjunction with the Chief Communications and Marketing Officer, as needed.
  • Supports and collaborates with the ADEA BOD Council Staff and Advisory Committee Liaisons, and their Advisor, to carry out governance functions effectively and ensure timely information is received and feedback from the Liaisons is provided to assist effective governance management.
  • Other duties as assigned.

Requirements

  • 10 years of progressive professional experience and bachelor s degree from an accredited college/university, in nonprofit leadership/administration, education, health care, business, or other relevant field, master s degree is preferred.
  • Minimum of 5 years of supervisory experience and 5 years of professional work directly with Boards and/or senior executives in a governance role, at non-profit organization preferred.
  • Strong knowledge of parliamentary procedure and/or Roberts Rules of Order.
  • Expert-level oral and written communications skills necessary to interact diplomatically and tactfully with diverse groups effectively.
  • Ability to drive decision processes and coalition build.
  • Strong analytic and critical thinking skills; demonstrated initiative, and self-starter.
  • Proven ability to:

  • Experience drafting and/or writing bylaws, public facing policies and operational procedures, at a nonprofit organization preferred.

  • Ability to travel approximately 20% to member meetings to support ADEA events as needed, including some weekends and evenings.
  • Ability to work at ADEA s Washington, DC office on a hybrid basis three days per week.
