Associate General Counsel - Washington, DC / Northern Virginia Area

LHH has been asked to assist with an EXCLUSIVE search for an Associate General Counsel (AGC) to join a newly created (PE-backed) organization poised for exponential growth, located in the DC/Northern Virginia area. This organization offers the feeling and excitement of being in a start-up while providing the stability and support of a committed institution with an experienced management team behind it. Cultural fits for the group will be highly accomplished individuals who understand the need to build, are willing to roll up their sleeves, and are energized by the opportunity to help create a new platform. The AGC will develop, implement, and lead the organizations legal strategy. The AGC will provide counsel to the executive leadership team and business operations across a variety of subject areas, including but not limited to: corporate law/governance, contracts, and national and state-specific regulatory compliance.

Background/Experience:

Ideal candidates will have 7+ years of experience; a blend between firm and in-house is strongly preferred. Specifically, qualified candidates will have/be able to:

  • A deep understanding of corporate legal practices, regulatory rules related to alternative practice structures (ideally in the accounting industry) or be able to develop these quickly, and document management.
  • Oversee compliance with all applicable laws and regulations and conduct legal research and analysis to stay up to date on changes that may impact the company and its subsidiaries.
  • Manage federal and state regulatory strategy, compliance, and communication, developing state specific regulatory expertise across multiple states specifically related to AICPA and other regulations governing the accounting industry.
  • Partner with HR on employment practices, employment handbook updates, insurance documentation, and minimizing exposure, etc. Manage international employment arrangements at the organization as well as its subsidiaries.
  • Develop, implement, and standardize documentation processes to improve efficiency and mitigate legal risks. Cascade acceptable changes guides to other team members and assist in negotiations.
  • Review and advise on a variety of contracts and agreements, including organizational, employment, equity, vendor, buyside, and consulting agreements.
  • Experience working with private equity backed companies is a plus.
