The Role

As the General Counsel you will report to, and be a key strategic partner to, the Chief Executive Officer and the Executive Vice Chairman. The General Counsel is a multidimensional role that not only manages legal tact, but also aligns legal and business strategies, suggests innovative business solutions, mitigates risk, and ensures legal efficiency. You will act as a strategic business partner to the Founder/CEO and Executive Vice Chairman of the Board.

In order to succeed in this role you must possess strong initiative, excellent management and leadership skills and strong business acumen. We are looking for a vibrant, driven and well decorated legal and strategic business leader whose full gamut of experience in legal, regulatory, and cross functional global business has made you a leader in your field. You have a mix of experience ranging from overseeing day to day legal in a hyper growth company, as well as driving the strategic, financial, human resources, and investment decisions for optimal growth.

Day to day, you will guide and steer your team, while optimizing our corporate structure in multiple jurisdictions including the US, Canada, Brazil, Mexico Europe, India. You will be a key member of the leadership team and will also participate in securing high profile executives and advisors, customers, and financial backers from banks, to underwriters, to strategic investment partners.

Core Responsibilities:

Develop and lead corporate legal strategies to promote and protect the company's interests while owning all legal items for the company.

Participating in the formulation of general management policy as a member of the executive management team while driving Founder's vision to execution.

Collaborate on strategic business decisions; develop and recommend independent and balanced business options as a contributing member of the executive team.

Organize all legal needs of the company in a detailed, dynamic, and highly responsive model.

Full ownership over of all legal items for the portfolio.

Review/modify/negotiate all agreements across businesses for maximum value and minimal risk, including ensuring all relationships across all businesses have properly executed agreements.

Create a Portfolio-wide legal database where all documents are tracked, organized, and updated to reflect ongoing efforts and strategy.

Lead and manage the negotiation of major contracts.

Prepare and review documents related to M&A transactions including LOIs, Term sheets, Purchase Agreements, and Disclosure Schedules Assist in the negotiation and settlement of contracts.

Manage outside counsel as required and approved and in a cost-effective manner.

Maintain logs of all legal correspondence, timesheets and expenses Other duties as assigned by the Board.


Requirements:

  • Law degree with strong academic credentials
  • Active license to practice law in at least one country / state.
  • A minimum of 10+ years of US legal experience with a combination of experience as a practicing lawyer in a law firm and high level legal function within a large public company or GC of a smaller public company.
  • Proven success record in working with highly driven entrepreneurial founders and CEOs to create exponential, profitable growth.
  • Ability to work autonomously, taking accountability without the support of a huge team behind them.
  • Highly detailed and organized communication style, including the ability to operate in highly charged fast moving environments.
  • Experience in either travel, hospitality, airline industry and/or M&A legal transactional work and/or debt financing legal transactional experience would be a bonus.
