The firm has an immediate opening for a full-time senior level attorney in its Corporate Group, as defined below. This is an excellent opportunity for a senior-level attorney desiring regular client interaction and significant responsibility, with work-life balance in a team-oriented environment.

Responsibilities

• Assist Partners in all areas of corporate and commercial law.
• Be able to work autonomously.
• Prepare and negotiate disclosure schedules and other documents and agreements related to sale, acquisition, merger and other commercial transactions.
• Draft, review and revise all forms of commercial documents including master service agreements, purchase order terms, supply agreements and distributor agreements
• Counsel clients on new entity formation including drafting, reviewing and revising formation documents, employment agreements and owner buy-sell agreements.
• Performed legal research on corporate matters.
• Assist in marketing the firm s Corporate group to generate business from current and new client

Qualifications

• Law Licensure in Pennsylvania at minimum
• 7-10 years relevant practice experience in the areas of general corporate law, commercial transactions, mergers and acquisitions and business planning
• Excellent written, oral and interpersonal communication skills
• Strong analytical skills
