As Associate Counsel, Sourcing and Supply Chain, you will be responsible for providing legal advice and guidance regarding a wide range of procurement and commercial legal matters, including contract drafting and negotiation, deal structuring, transactional risk assessment and support, and pre-litigation support.

Job Description

Roles and Responsibilities:

  • Provide legal analysis and support for commercial purchasing and sales transactions, including structuring, drafting, reviewing and negotiating domestic and global contracts and software licenses.

  • Develop and maintain standard contract forms and other standard documents for the purchase of goods, services and software applications.

  • Develop and implement processes and procedures to deliver legal support efficiently and effectively.

  • Identify and provide guidance relating to regional, portfolio and transactional risks and risk mitigation.

  • Manage claims, disputes, and settlements arising out of procurement relationships.

  • Provide strategic and tactical advice regarding contract interpretation, claims and disputes.

  • Partner with various functions across Sourcing, Quality, Legal and Operations to provide strategic legal advice and continuously improve legal support of strategies and initiatives.

  • Develop and deliver training on legal contract, process and compliance matters.

Required Qualifications:

  • Juris Doctorate from an accredited law school.

  • Admitted to practice and in good standing with at least one US State Bar.

  • Minimum of 5-7 years of transactional commercial experience, with a strong emphasis on sourcing and/or sales transactions.

  • Knowledge of the Uniform Commercial Code (UCC) and U.N. Convention on Contracts for the International Sale of Goods.

  • Experience and success in drafting, negotiating and closing purchase and sale agreements and software licenses, including SaaS, PaaS, hosting and cloud agreements.

  • Strong interpersonal and leadership skills.

For U.S. based positions only, the pay range for this position is $123,600.00-$185,400.00 Annual. It is not typical for an individual to be hired at or near the top of the pay range and compensation decisions are dependent on the facts and circumstances of each case. The specific compensation offered to a candidate may be influenced by a variety of factors including skills, qualifications, experience and location. In addition, this position may also be eligible to earn performance based incentive compensation, which may include cash bonus(es) and/or long term incentives (LTI).
