About:
A well-known national law firm is seeking to onboard a finance associate to handle a broad range of transactional and regulatory matters. This opportunity is hybrid.
The law firm consists of over 350 lawyers across the country and has gained accolades from U.S. News & World Report, The Best Lawyers in America, and Chambers USA.
Experience:
- Associates must have 4+ years of complex financing and acquisitions transactions experience on both the borrower and lender sides.
- Prior experience with structuring, documenting, and closing financing transactions in a wide variety of industries is required.
- The candidate should have a desire to work as a member of a dynamic transactional team representing lenders, borrowers, and sponsors in a variety of financing and investment matters.
- Candidates also must have excellent written and oral communication skills, a team-oriented mentality, and be a motivated self-starter with strong credentials.
Responsibilities:
- The successful candidate will work with the business group across several offices representing lenders and borrowers in varied and complex financial transactions with a particular focus on the financing of private equity acquisitions and both senior and mezzanine debt transactions.
- The team s clients include issuers, investors, financial institutions, borrowers (public, private and portfolio companies), and lessees.
- The equity team represents both issuers and investors in a broad array of equity finance transactions, including syndicated offerings and private placements, on the structure, negotiation and document investments in private placements. As well as regularly advise the clients on complex legal issues in connection with various liquidity events such as IPOs, secondary offerings and distributions of portfolio company securities.
- The finance practice group represents clients in secured and unsecured debt transactions, including construction loans, revolving and term loans, asset-based loans, bridge equity loans, syndicated loans, bond financings, convertible loans, real estate loans, mezzanine and unitranche financings, letters of credit, interest rate swaps and other hedging transactions, sale/leasebacks, and tax-exempt financings.
