PBS, one of the country s leading media organizations, has engaged Garrison on an exclusive basis to assist in its search for an Assistant General Counsel with 10+ yrs. of corporate governance legal experience. The position will report to the Deputy General Counsel, who our firm placed with the company 23 years ago. This is a great opportunity to join a dynamic and close-knit legal team within one of the most collegial, mission-driven organizations in the DMV.

You will work closely with the Corporate Secretary of PBS and the PBS Foundation, advise on corporate governance matters and the legal requirements for non-profit membership organizations, as well as draft and negotiate corporate transactions. You will also manage a Senior Manager for Board Affairs.

Key responsibilities: Establish strong working relationships with the Board Affairs team, the Office of the CLO, PBS Foundation executives, Board members, Committee members, and other colleagues; maintain and update corporate governance documents for PBS, the Foundation, and subsidiaries (e.g., drafting agendas, minutes, correspondence, issue papers, Board policies, etc.); oversee the elections process for the Boards; work effectively with other departments to plan Boards of Directors and Committee meetings; advise Corporate Secretaries on compliance with Board-related Conflicts of Interest Policy; and maintain ongoing working knowledge of non-profit governance laws. Prior experience representing clients in the media, entertainment and/or non-profit industry sectors is highly valued.
