Compensation We support transparency, equity, and fairness in our compensation programs and provide a reasonable estimate of the salary range, based on data-driven market analysis, for each job posting. While it is not typical for an individual to be hired at or near the top of the range, a reasonable estimate of the salary range for this role in Washington, DC (Headquarters) is $290,300 - $479,200. Team members may also be eligible for performance-based discretionary awards.Hybrid work option Staff will be assigned to the Washington, DC (Headquarters) office. Staff can choose to live and work from anywhere within the United States but will be required to commute to their assigned office or location for occasional intentional gatherings or meetings at the frequency required by their supervisor. Role Summary

The PCAOB has a full-time, regular position for a Deputy Director, General Counsel in the Office of General Counsel (OGC) at its Washington, DC (Headquarters) office. As a senior people leader, the Deputy Director will play a key role with respect to most substantive matters within the purview of OGC, as well as the administration of the office. The Deputy Director (along with the General Counsel) will be responsible for leading and supervising the legal function of OGC, including advising and counseling the Board and PCAOB staff in all functions of the organization.

Responsibilities

Provide overall strategic direction and leadership to OGC.Share responsibility in the planning, directing, and monitoring of the operations of OGC to promote increased efficiency of operations and assure the appropriate utilization of resources.Support the General Counsel in leading and supervising the legal function of the PCAOB.Advise and counsel Board and staff on the exercise of the program responsibilities under the Sarbanes-Oxley Act, as amended.Advise and counsel the Board, management, and staff on all legal issues.Advise on organizational compliance with pertinent laws and regulations.Advise on PCAOB compliance with SEC requirements.Oversee in-depth legal research involving analysis of statutes, proposed legislation, case law, and governmental guidance.Prepare briefs, legal memoranda, and other documents on matters pertinent to the work and administrative functioning of the PCAOB.Oversee the work of outside counsel; lead and provide direction to teams of attorneys within OGC.Perform the full range of supervisory duties, including evaluating employee performance; make recommendations for appointment and promotion; hear and resolves complaints; identify development and training needs of employees; other related supervisory tasks.Handle other duties as assigned, including acting as the General Counsel s back-up as necessary.

Qualifications

Education/Technical Expertise

Minimum of 15+ years of legal experience with either a law firm, corporation, government agency, regulatory body, or other professional setting or combination thereof in a leadership role.Experience in an environment related to accounting, financial matters, or public auditing.Knowledge and experience relating to corporate and securities laws.Knowledge and experience relating to rulemaking and administrative law.A demonstrated ability to analyze complex legal issues.A demonstrated ability to think broadly and strategically, including the ability to translate long-term goals and objectives into short-term tactical plans and operational activities.Juris doctor (JD) from an accredited law school in the United States.Active member of the Bar.Superior technical abilities, regulatory knowledge, and leadership skills.Ability to work independently and as a member of a team.Superior verbal and written communication skills.Ability to effectively represent the organization to a variety of both internal and external constituencies.Strong interpersonal skills.Strong time management and organization skills.Ability to respond to changing circumstances and adapt to meet new opportunities/challenges.
