Corporate Legal Assistant


Job Details

Responsibilities (including but not limited to):

  • Assist attorneys with all aspects of corporate transactions, including mergers and acquisitions, entity formation, financing, and securities offerings.
  • Prepare and review legal documents, such as contracts, board resolutions, stock purchase agreements, and LLC operating agreements.
  • Conduct legal research on relevant corporate law issues in Texas and federal statutes.
  • Prepare and file corporate documents with the Texas Secretary of State and other state and federal agencies.
  • Assist with expense reports, attorney timekeeping and calendaring
  • Maintain accurate and organized corporate records in electronic and physical filing systems.
  • Communicate effectively with clients, attorneys, and other professionals.


Qualifications:

  • Strong understanding of corporate law principles and practices
  • Excellent research, writing, and editing skills.
  • Proficient in Microsoft Office Suite and legal research databases (e.g., Westlaw, LexisNexis).
  • Ability to manage multiple tasks efficiently, prioritize workload, and meet deadlines.
  • Strong attention to detail and accuracy.
  • Excellent communication and interpersonal skills.
  • Ability to work independently and as part of a team.
