Job Details
Responsibilities (including but not limited to):
- Assist attorneys with all aspects of corporate transactions, including mergers and acquisitions, entity formation, financing, and securities offerings.
- Prepare and review legal documents, such as contracts, board resolutions, stock purchase agreements, and LLC operating agreements.
- Conduct legal research on relevant corporate law issues in Texas and federal statutes.
- Prepare and file corporate documents with the Texas Secretary of State and other state and federal agencies.
- Assist with expense reports, attorney timekeeping and calendaring
- Maintain accurate and organized corporate records in electronic and physical filing systems.
- Communicate effectively with clients, attorneys, and other professionals.
Qualifications:
- Strong understanding of corporate law principles and practices
- Excellent research, writing, and editing skills.
- Proficient in Microsoft Office Suite and legal research databases (e.g., Westlaw, LexisNexis).
- Ability to manage multiple tasks efficiently, prioritize workload, and meet deadlines.
- Strong attention to detail and accuracy.
- Excellent communication and interpersonal skills.
- Ability to work independently and as part of a team.
