Position Overview:
Our client is currently seeking a Mid-Level Corporate Attorney to join their esteemed team in Houston, Texas. This role offers the chance to work on complex corporate transactions, advising clients on a diverse range of matters including mergers and acquisitions, private equity investments, securities offerings, and corporate governance.
Responsibilities:
- Provide expert legal counsel on corporate transactions, including mergers, acquisitions, divestitures, and joint ventures.
- Draft and negotiate transactional documents such as purchase agreements, shareholder agreements, and related contracts.
- Conduct thorough due diligence reviews and analysis in connection with corporate transactions.
- Offer guidance on securities law compliance and corporate governance issues.
- Collaborate effectively with interdisciplinary teams to deliver comprehensive legal solutions to clients.
Qualifications:
- Juris Doctor (J.D.) from an accredited law school.
- Active membership in good standing with the Texas State Bar or eligibility for admission by motion.
- 3-5 years of experience practicing corporate law at a reputable law firm or in-house legal department.
- Strong background in transactional work, including mergers and acquisitions, private equity, and securities offerings.
- Exceptional drafting and negotiation skills with keen attention to detail.
- Ability to thrive in a fast-paced environment and manage multiple priorities effectively.
- Excellent interpersonal and communication skills, with the ability to collaborate seamlessly with clients and colleagues.
